Welcome to Nova Bloom Innovations (“Nova Bloom,” “we,” “our,” or “us”). These Terms of Service (“Terms”) govern your access to and use of our website, software platform, and related services (collectively, the “Services”).

By accessing or using Nova Bloom, you agree to be bound by these Terms.

1. Nature of the Service

Nova Bloom is a self-serve software platform designed to help service-based businesses manage inquiries, communications, workflows, and automation.

Nova Bloom is not a done-for-you service, agency, or managed operations provider. You are solely responsible for how you configure, use, and operate the platform.

2. Eligibility

You must be at least 18 years old and legally able to enter into contracts to use Nova Bloom. By using the platform, you represent that you meet these requirements.

3. Account Responsibilities

You are responsible for:

  • Maintaining the confidentiality of your login credentials

  • All activity occurring under your account

  • Ensuring the accuracy of information you provide

  • Compliance with applicable laws (including messaging and data regulations)

Nova Bloom is not responsible for misuse, misconfiguration, or unauthorized access resulting from your actions or omissions.

SMS & Communications Compliance

Users are solely responsible for compliance with all applicable laws and regulations governing email, SMS, and digital communications, including but not limited to CAN-SPAM, the Telephone Consumer Protection Act (TCPA), and applicable carrier requirements.

Users represent and warrant that all contacts uploaded into the platform have provided valid and appropriate consent for the type of communication being sent.

The platform does not verify recipient consent and does not provide legal advice regarding messaging compliance.

Use of the platform for unsolicited SMS messages, purchased lists, or communications sent without proper consent is prohibited and may result in suspension or termination of access.

4. Subscription, Billing & Payments

Nova Bloom operates on a subscription basis.

Fees are billed monthly or annually as selected.

Subscription fees are non-refundable unless required by law.

We may change pricing with reasonable notice.

Failure to pay may result in suspension or termination of access.

5. Messaging, Communications & Compliance

If you use Nova Bloom’s messaging features (SMS, email, forms):

  • You are responsible for obtaining proper consent from your contacts.

  • You agree to comply with all applicable laws, including TCPA, CAN-SPAM, and local regulations.

  • Nova Bloom is not liable for violations caused by user actions.

Use of SMS and messaging features is subject to our SMS Messaging Policy. Users are responsible for obtaining proper consent from their contacts before sending messages.

Message and data rates may apply. Message frequency varies based on usage and configuration.

6. Data Ownership

You retain ownership of your data.

By using Nova Bloom, you grant us a limited license to host, process, and transmit your data solely to operate and improve the Services.

Nova Bloom may rely on third-party service providers to deliver certain features, including messaging, hosting, and analytics. Nova Bloom is not responsible for service interruptions or failures caused by third-party providers.

7. Prohibited Uses

You agree not to:

  • Use Nova Bloom for unlawful, abusive, or deceptive purposes

  • Send spam or unsolicited messages

  • Interfere with platform security or functionality

  • Resell or sublicense the platform without written permission

We reserve the right to suspend or terminate accounts violating these Terms.

8. Service Availability & Modifications

We strive for reliable service but do not guarantee uninterrupted availability. Nova Bloom may update, modify, or discontinue features at any time.

9. Disclaimer of Warranties

Nova Bloom is provided “as is” and “as available.” We make no guarantees regarding results, conversions, revenue, or business outcomes.

Nova Bloom does not provide legal, financial, or compliance advice, and use of the platform does not guarantee compliance with applicable laws or regulations.

10. Limitation of Liability

To the maximum extent permitted by law, Nova Bloom Innovations shall not be liable for indirect, incidental, consequential, or special damages arising from your use of the Services.

Our total liability shall not exceed the amount paid by you in the previous 12 months.

11. Termination

You may cancel your subscription at any time. We may suspend or terminate access for violations of these Terms.

12. Governing Law

These Terms are governed by the laws of the State of Idaho, without regard to conflict-of-law principles.
